These terms set out how Save Energy Cost Ltd (“we”, “us” or “our”) provides brokerage and consultancy services to business customers (“you” or “your”).
They apply to services you engage us to provide for your business, together with the relevant service agreement, any agreed fee schedule and your Letter of Authority. They do not replace your chosen supplier’s terms.
1. Key terms
- Agreement
- These terms and any service agreement or fee schedule expressly accepted by both parties, together with the relevant Letter of Authority.
- Letter of Authority
- Your written authorisation describing the actions we may take on your behalf and the period of that authority.
- Services
- The brokerage, comparison and consultancy services we agree to provide under section 2.
- Supplier
- The energy, water or other utility provider with which you choose to enter into a contract.
- Supply Contract
- A contract between you and a Supplier arranged with our assistance.
- Commission
- A payment or other remuneration we receive from a Supplier in connection with arranging a Supply Contract.
- Working Day
- A day other than a Saturday, Sunday or public holiday in England.
2. What we do
We help businesses compare available offers from the Suppliers we can access, understand the main commercial terms and arrange their chosen Supply Contract.
Where agreed, we may also assist with renewals, supplier queries, meter readings, billing issues or other related services. Water or additional consultancy services are included only where expressly agreed.
- Our role: we act as a broker or consultant. We do not supply your energy or water.
- Market coverage: we compare offers from the Suppliers available to us. We do not claim to compare the whole market. You can ask which Suppliers we can access.
- Recommendations: we consider relevant information about your usage, requirements, price, contract length and available terms. We do not guarantee the lowest price available anywhere.
- Your decision: you decide whether to accept an offer. We will not enter into a Supply Contract on your behalf without clear authority covering that action.
Our service standards
We will provide the agreed Services with reasonable skill and care and comply with legal requirements and any codes that apply to our activities.
We will aim to provide clear, accurate and non-misleading information and disclose relevant remuneration before you commit to a Supply Contract.
Online comparisons and bill uploads
Uploading a bill, entering information or requesting a comparison does not itself authorise us to conclude a Supply Contract on your behalf.
Where automated or AI-assisted tools extract information from a bill, the extracted details may contain errors. You should check the information presented and tell us about any inaccuracies before proceeding.
Quotes are subject to Supplier approval, availability, credit checks where applicable and any stated expiry. A displayed price is not a guarantee that the Supplier will accept your application.
3. Starting and ending the Agreement
The Agreement starts when you accept these terms and we agree to provide the Services. Where a Letter of Authority is required, we will not take actions covered by it until we have received valid authority.
Unless a separate service agreement states otherwise, the Agreement continues for the authority period stated in your Letter of Authority, unless ended earlier.
Either party may end the Agreement by giving at least 30 days’ written notice. You may also withdraw authority for us to act on your behalf by written notice. We will stop taking new actions under that authority once the withdrawal takes effect.
Withdrawal of authority does not automatically cancel a separate service agreement or charges validly agreed under it.
Either party may end the Agreement immediately by written notice if the other commits a material breach that cannot be remedied, or fails to remedy a remediable material breach within 14 days of receiving written notice explaining it.
Subject to applicable insolvency law, we may also end the Agreement if you cease trading or enter an insolvency process.
Your Supplier contract remains separate
Ending our Agreement or withdrawing a Letter of Authority does not cancel a Supply Contract already entered into. Existing rights, valid payment obligations and provisions intended to continue after termination remain unaffected.
4. What we need from you
You agree to:
- Provide accurate, complete and current information, to the best of your knowledge, and notify us of relevant changes.
- Respond to reasonable requests for information, documents and instructions.
- Ensure anyone instructing us or signing documents on your behalf has appropriate authority.
- Check your business, premises, meter, usage and contract details before accepting a Supply Contract.
- Read your Supplier’s terms and meet your obligations under the Supply Contract, including payment obligations.
- Tell us about existing broker instructions or supplier negotiations that could conflict with our work.
The Agreement is non-exclusive unless a separate, clearly identified exclusivity arrangement is expressly agreed in writing.
5. Commission and fees
We are normally paid Commission by the Supplier. Depending on the arrangement, this may be included in the rates or charges payable under your Supply Contract.
You will not owe us a separate service fee unless its amount or calculation method, payment terms and applicable VAT have been disclosed and agreed in writing beforehand.
Information before you commit
Before you enter into a Supply Contract, we will provide written information explaining the relevant Commission and how it is calculated.
Where Commission is consumption-based, this will include the relevant pence-per-kilowatt-hour amount and an estimated total in pounds over the contract term, based on the consumption assumptions provided.
Where a different remuneration method applies, we will explain that method and the amount or estimate available. Actual consumption-based Commission may differ from the estimate if your usage changes.
Commission can vary between Suppliers and contracts. You can ask us to explain the calculation and how remuneration relates to the options presented.
Further information is available on our How We Are Paid page.
6. Your contract with the Supplier
Your Supply Contract is directly with your chosen Supplier. The Supplier is responsible for its supply, billing and other obligations under that contract.
We do not guarantee a Supplier’s performance. This does not exclude responsibility for our own breach of the Agreement, negligence or other liability that cannot lawfully be excluded.
Please review the Supplier’s terms, including prices, standing charges, contract duration, start date, termination provisions and any additional charges. Ask for clarification before accepting anything you do not understand.
Do not assume that a business Supply Contract includes a cooling-off period. Any cancellation right depends on the applicable law and the Supplier’s terms.
7. Moving or leaving your premises
Please tell us as soon as reasonably possible if you intend to leave premises covered by a Supply Contract, ideally at least 14 Working Days beforehand.
You must also follow your Supplier’s change-of-tenancy or premises-closure procedure. The Supplier may request evidence such as lease documents, sale documents or confirmation of surrender.
Where included in our agreed Services, we will assist with the process. The Supplier decides how the move affects your Supply Contract.
Moving premises does not, by itself, create an obligation to repay our Commission. Any separate recovery arrangement must meet the requirements in section 8.
8. Claims relating to lost Commission
These terms do not impose an automatic cancellation fee or automatic repayment of Supplier Commission.
Any specific obligation to reimburse lost Commission must be separately and expressly agreed in writing before the relevant service or commitment. That agreement must explain the trigger, calculation, payment terms and any applicable limit.
Any claim we make must have a lawful contractual basis and reflect a recoverable loss. We will provide reasonable supporting information, take reasonable steps to reduce the loss and account for sums recovered elsewhere. We will not recover the same loss twice.
You will not be responsible under such an arrangement for losses caused by our own breach or error. VAT will only be added where legally chargeable.
9. Our responsibility to you
Nothing in the Agreement excludes or limits liability for:
- Death or personal injury caused by negligence.
- Fraud or fraudulent misrepresentation.
- Any other liability that cannot lawfully be excluded or limited.
We are responsible for losses for which we are legally liable arising from our breach of the Agreement or failure to exercise reasonable skill and care.
We do not guarantee particular savings, future market prices or a Supplier’s performance. This does not remove responsibility for our own acts or omissions.
No financial liability cap or blanket exclusion of categories of loss is imposed by these standard terms. Any proposed additional limitation must be separately agreed in writing and remains subject to applicable law.
Please tell us promptly if you believe we have caused a loss, providing reasonable details so we can investigate and consider how to limit its effects. This request does not shorten any statutory time limit for a claim.
10. Your information
We process personal information as explained in our Privacy Policy. Each party must comply with the data protection obligations applicable to its activities.
Where necessary and lawful, we may share relevant contact, business and supply information with Suppliers and service providers to deliver the agreed Services.
These terms do not provide blanket consent for every use of personal information. Processing must have an appropriate lawful basis and meet applicable transparency and other legal requirements.
Please only provide information you are authorised to share and avoid submitting unnecessary personal or sensitive details.
11. Confidentiality
Each party will protect the other’s confidential information and use it only to perform the Agreement or exercise rights connected with it.
This obligation does not apply to information that is lawfully public, already lawfully known, independently developed or lawfully received from another source without a duty of confidentiality.
Relevant information may be shared with personnel, Suppliers, service providers, professional advisers, insurers or regulators where reasonably necessary and subject to appropriate confidentiality arrangements, or where disclosure is required by law.
Neither party may use the other’s name or logo in marketing without prior written permission.

We will handle your complaint under our Complaints Procedure.
Where your complaint is eligible and falls within the relevant scheme’s jurisdiction, you may be able to refer it to the Energy Ombudsman free of charge after eight weeks without resolution, or earlier following a deadlock letter.
Availability depends on the applicable scheme arrangements and eligibility requirements. We will identify the relevant external escalation route in our complaint response.

Nothing in this section prevents you from exercising other legal rights.
13. Settling disputes
If a dispute arises, both parties will try to resolve it in good faith through the people dealing with the matter and, where appropriate, a senior representative.
Either party may propose mediation. Mediation is voluntary unless separately agreed or required by a court.
This process does not prevent either party from seeking urgent relief, protecting a limitation deadline, using an available dispute resolution scheme or bringing legal proceedings.
14. Notices
Formal notices under the Agreement must be in writing and sent to the recipient’s registered office or the email address identified for notices in the service agreement or Letter of Authority.
Unless another address has been agreed, notices to us may be sent to our registered office or to info@saveenergycost.co.uk.
- Hand delivery: received when left at the appropriate address during normal business hours, otherwise at 9.00 am on the next Working Day.
- Prepaid first-class post: treated as received at 9.00 am on the second Working Day after posting, unless evidence shows otherwise.
- Email: treated as received when delivered to the recipient’s email system during normal business hours, otherwise at 9.00 am on the next Working Day, provided no delivery failure notification is received.
For this section, normal business hours are 9.00 am to 5.00 pm on Working Days. These notice provisions do not govern service of court proceedings.
15. Events outside our reasonable control
Neither party is responsible for a delay or failure to perform an obligation to the extent it is caused by an event outside its reasonable control.
The affected party must notify the other promptly, explain the likely impact and take reasonable steps to reduce the effects and resume performance.
This clause does not excuse payment obligations that have already fallen due or failures that reasonable precautions could have prevented.
If the event prevents substantial performance for more than 30 consecutive days, either party may end the affected Services by written notice, without affecting rights or obligations already accrued.
16. Changes to these terms
We may publish updated terms for future engagements. Publishing a new version does not automatically change an existing Agreement.
Material changes to an existing Agreement require both parties’ written agreement. We will normally give at least 30 days’ notice of proposed material changes.
Changes required by law will apply only to the extent legally necessary. We will explain relevant changes as soon as reasonably practicable.
Changes to our terms do not alter an existing Supply Contract with your Supplier.
17. General terms
Whole agreement
The Agreement records the parties’ agreement concerning the Services and replaces earlier discussions on the same subject. Nothing excludes liability for fraud or overrides rights that cannot lawfully be excluded.
Order of documents
An expressly agreed service agreement or fee schedule takes precedence over these terms where it specifically identifies a variation. The Letter of Authority defines the scope of authority granted and does not, by itself, authorise actions outside that scope.
Changes and waiver
Variations must be agreed in writing, subject to section 16. A delay in exercising a right does not mean that right has been waived.
Severance
If a provision is held invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.
Assignment and transfer
Neither party may transfer its contractual obligations without the other’s written consent, which must not be unreasonably withheld or delayed.
Any permitted transfer must preserve applicable rights, confidentiality and data protection obligations.
Relationship
The Agreement does not create a partnership, joint venture or employment relationship. Any authority for us to act as your agent is limited to the authority you expressly grant.
Third-party rights
Unless expressly agreed otherwise, a person who is not a party to the Agreement has no right to enforce it under the Contracts (Rights of Third Parties) Act 1999.
18. Governing law and jurisdiction
The Agreement and any contractual or non-contractual dispute arising from it are governed by the law of England and Wales.
Subject to any mandatory legal rights and applicable dispute resolution arrangements, the courts of England and Wales have exclusive jurisdiction.
